This is the Privacy Policy (“Privacy Policy”) of RoofMarketplace, Inc. (“RoofMarketplace” or “us” or “we”). RoofMarketplace is committed to maintaining privacy protections for its users. Our Privacy Policy was developed as a commitment to integrity in dealing with our providers and customers with respect to your use of our on-line services, any content or information therein, the RoofMarketplace website at www.RoofMarketplace.com, any subdomains of RoofMarketplace.com, and any other website pages or applications through which services are provided by us (collectively, the “Site”). The Privacy Policy is designed to assist you in understanding how we collect, use and store the Personal Information you provide to us and the data we collect to provide the Services.

RoofMarketplace offers an online platform that brings together homeowners (“Customers”), service providers (“Providers”), insurance carriers (“Carriers”), and other service and product providers in one place to help simplify the search for and provision of roofing services and other services and products for Customers (the “Services”). Our Terms of Service is available at https://roofmarketplace.com/terms-of-service/, “Terms of Service”, which incorporates by reference this Privacy Policy, governs your use of the Services. By using the Site and Services, you hereby give RoofMarketplace your consent to use the information collected about and provided by you in accordance with this Privacy Policy.

1. INFORMATION WE COLLECT

We collect “Non-Personal Information” and “Personal Information.” Non-Personal Information includes information that cannot be used to personally identify you, such as anonymous usage data, searches performed, pages visited, general demographic information we may collect, referring/exit pages and URLs, platform types, preferences you submit and preferences that are generated based on the data you submit, and your use of and interactions with the Site. Personal Information includes information that can be linked to a specific individual, such as your name and/or your business’s name, address, images of your real property and surrounding areas, telephone number, email address, payment information, and other information which you submit to us at the Site or by otherwise accessing the Services. Sharing Personal Information with us is entirely voluntary; however, the disclosure of certain Personal Information to us is required in order to use the Services.

A. Information collected via Technology

In an effort to improve the quality of the Site, we track information provided to us by your browser when you view the Site, such as your Internet service provider, the website you came from (known as the “referring URL”), the type of browser you use, your operating system, the device from which you connected to the Site, the time and date of access, the Site pages viewed, time spent at our Site, the websites visited just before and just after our Site, and other information that does not personally identify you. We track this information using cookies, or small text files which include an anonymous unique identifier, and other technologies serving similar tracking purposes. These technologies are features of your web browser (e.g., Chrome, Safari, Firefox, etc.) software that allows web servers to recognize the computer used to access a website. They are small pieces of data that are stored by a user’s web browser on one website to simplify subsequent interactions with that website by the same user or to use the information to streamline the user’s transaction on related web pages. This makes it easier for a user to move from website to website and to complete transactions over the Internet. These technologies should make your online experience easier and more personalized. These technologies enable a website to collect Non-Personal Information about a user and keep a record of the user’s preferences when utilizing our services, both on an individual and aggregate basis.

RoofMarketplace may use both persistent and session cookies; persistent cookies remain on your computer after you close your session and until you delete them, while session cookies expire when you close your browser.

If you do not wish to transmit information about yourself through cookies or similar technologies, you may be able to turn off these functions in your web browser; please consult the “Help” section of your web browser to learn how to correctly do so. If you elect to turn them off, however, you may not be able to access certain features of the Site and your use of some portions of the Site may be affected.

B. Information you provide us by using the Site or Services

In addition to the information provided automatically by your browser when you visit the Site, you may choose to provide us with Personal Information in connection with your visit to the Site and your use of the Services. Below are general categories of information that we may collect if you provide us with such information through your use of the Site and the Services.

Provider and Customer User Accounts: To use the Services as either a Provider or Customer, you will need to create a profile on the RoofMarketplace Site. You can create a profile by registering directly through the Site and entering your email address and creating a user name and password. By registering, you are authorizing us to collect, store, and use your email address and other information pertaining to such profile in accordance with this Privacy Policy.

Customers: In order to use the Services as a Customer, you are required to provide certain information such as your name, address, phone number, contact information, roofing service information, bidding requirements, and so forth in connection with the submission of a request for Provider services (a “Bid Request”). In addition, as part of the Services, when provided with your address and location information in connection with a Bid Request, we may use a third party aerial imaging service provider to provide us with images of the roof, building and surrounding areas of the address for which the Bid Request is being submitted (the “Bid Request Images”), in addition to any other third-party service providers whose services are relevant to your bidding requirements. The foregoing information, the Bid Request Images, and any other information collected in response to your bidding requirements will be used by RoofMarketplace in order to submit Bid Requests to Providers in connection with your use of the Services.

Providers: In order to use the Services as a Provider, you are required to provide certain information such as your business name, address, phone number, contact information, various trade license number(s), customer reviews, and bid preferences (e.g., geographic locations in which you are willing to provide your services to Customers, workmanship styles, and similar preferences). You may submit bids for jobs to RoofMarketplace by using the Services, including pricing information, specifications, and other pertinent information in response to Customers’ Bid Requests (the “Bids”).

Financial Information: In creating your user account and profile, as a Provider, and if you desire to view Bids submitted in response to any Bid Request, as a Customer, we will ask for financial and billing information such as a credit card number, billing address, and related information. This information is provided to a third-party payment processor to facilitate such transactions and allows us to process your payments. We consider this information confidential and do not disclose it to Providers, Customers, Carriers, or other third parties.

Reviews and Comments: The Site may provide additional opportunities for users to share information. For example, the Site may include forums for users to post comments and reviews of Providers, Provider services, and the RoofMarketplace Services. We collect information you voluntarily provide as a part of our Site and Services, including any messages, posts, comments, responses, reviews, and ratings you submit through the Site.

C. No Use of Our Site by Persons under 13

The RoofMarketplace Site is not intended for use by anyone under 18 without parental or guardian consent. No person under 13 should disclose information on this Site regardless of such consent. RoofMarketplace doesn’t knowingly collect or use personally identifiable information from children under 13. If a child under 13 has provided us with personally identifiable information without parental or guardian consent, the parent or guardian should contact us at the email address provided below to remove the information. 2. HOW WE USE AND SHARE INFORMATION

  1. Personal Information

Except as otherwise stated in this Privacy Policy, we do not sell, trade, rent, or otherwise share for marketing purposes your Personal Information with third parties without your consent. We share Personal Information with vendors who are performing services for RoofMarketplace, such as third party payment processors, service providers who send communications to you on behalf of RoofMarketplace, and other third party vendors as described below. We contractually require our vendors to only use your Personal Information in accordance with our Privacy Policy and in compliance with applicable data protection laws. We may share with third parties aggregated, anonymized data and analytical data collected from you and other users. Such information may be used for research and general industry knowledge purposes as well as to track our users’ participation in the Services or to provide information to our Providers about our users and the Service. Prior to providing such information to third parties, we will use reasonable commercial efforts to remove personally identifying information so that such data cannot be traced back to you or other individual users. However, we do not guarantee that portions of such data cannot, when combined with other data and data from other sources, constitute Personal Information.

If a third party has requested that you use the Services to facilitate the fulfillment of an insurance claim or related obligation, RoofMarketplace may share Personal Information and other data acquired through your use of the Service (e.g., content of Bid Requests, Bids, etc.) with such third party insurance provider or related third parties as applicable, provided that you have consented to such sharing via the opt-in mechanism provided when you register for the Services.

B. Non-Personal Information

In general, we use Non-Personal Information to help us improve the Services and to customize the user experience. We also may aggregate Non-Personal Information in order to track trends and analyze use patterns on the Site. This Privacy Policy does not limit in any way our use or disclosure of Non-Personal Information and we reserve the right to use and disclose such Non-Personal Information to our partners, advertisers and other third parties at our discretion.

C. Providing the Services

Customers: By signing up for the Services and submitting a Bid Request, you authorize RoofMarketplace to share Bid Request information that you provide, including Bid Request Images (but excluding financial and billing information), with Providers. Prior to your acceptance of a Bid, the information submitted to potential Providers is not intended to enable Providers to personally identify you (it would not, for example, contain your name, contact information or physical address) and Providers are obligated to use such information solely to inform them in their creation of Bids; nonetheless, this information could potentially be used by Providers to identify you personally. In addition, if you accept a Bid from a Provider, RoofMarketplace is authorized to share your Personal Information (such as name, contact information and address, but excluding financial or billing information) with the applicable Provider for the purpose of enabling such Provider to contact your regarding such awarded Bid. Providers are bound by the Terms of Service not to use your information for any other purpose other than to provide the services requested in the Bid; however, we cannot guarantee their compliance with those obligations. In addition, a Provider’s use of information you submit to a Provider yourself, and not through the Service, is not governed by the Terms of Service or this Privacy Policy.

Providers: By signing up for the Services and submitting Bids, you authorize RoofMarketplace to share your Personal Information (excluding financial or billing information) and Bids with Customers. A Customer’s use of such information is restricted under the Terms of Service to use in connection with the evaluation of Bids and the receipt of services; however, we cannot guarantee their compliance with those obligations. In addition, a Customer’s use of information you submit to a Customer yourself, and not through the Service, is not governed by the Terms of Service or this Privacy Policy.

D. Authorized Parties

We may share your Personal Information with authorized third party vendors and service providers that support the Site and the delivery of the Services (e.g., by providing technical infrastructure services, data processing, or analytics), enable our marketing activities (e.g., event sponsors, promotional partners, or email vendors), parties who support our business operations (e.g., Provider background verification), as well as RoofMarketplace’s professional advisors or auditors.

E. Public Areas

We maintain areas on the Site allowing our users to submit information to RoofMarketplace (collectively, the “Public Areas”). If you post to a Public Area, you should be aware that any Personal Information submitted can be read, collected, or used by any person who visits the Site. We are not responsible for Personal Information or any other information you choose to submit to Public Areas. If you choose to comment on posts in a Public Area through Twitter, Facebook, or any other social media platform, we do not receive access to your Personal Information from those sites. Comments posted to our Public Areas are subject to the Terms of Service.

F. Mergers, Acquisitions and Similar Business Transactions

In the event we undergo a business transaction such as a merger, acquisition by another company, or sale of all or a portion of our assets, your Personal Information as well as Non-Personal Information may be among the assets transferred to or shared with any successor to our business. You acknowledge and consent that such transfers may occur and are permitted by this Privacy Policy, and that any acquirer of our assets or business may continue to access and process your Personal Information as set forth in this Privacy Policy. If our information practices change at any time in the future, we will post the policy changes to the Site. We suggest that you check the Site periodically if you are concerned about how your information is used.

G. Sharing Information with the Government or As Otherwise Required by Law

We may also use or disclose any information collected on the Site to resolve disputes or investigate problems. We may disclose or access such information when we believe in good faith that the law requires it, or if we consider it necessary to maintain the Services and improve our products and services.

3. HOW WE PROTECT INFORMATION

We implement security measures designed to protect your information from unauthorized access, disclosure, or accidental loss or destruction of Non-Personal Information and Personal Information, including credit card information. We further protect your information from potential security breaches by implementing certain technological security measures including encryption, firewalls, and secure socket layer technology. However, these measures do not guarantee that your information will not be accessed, disclosed, altered, or destroyed by breach of such firewalls and secure server software. Although we take reasonable steps to safeguard and prevent unauthorized access to your personally identifiable information, we can’t be responsible for the acts of those who gain unauthorized access, and we make no warranty, express, implied, or otherwise, that we will prevent such access. By visiting our Site and using our Services, you acknowledge that you understand and agree to assume these risks. Communications you may have with us via email or U.S. Mail may not be secure unless we advise you that security measures are in place prior to your sending information. Therefore, if you choose to communicate with us through these means, you are assuming the risk of doing so and we request that you do not send or post sensitive information through these means.

4. YOUR RIGHTS REGARDING THE USE OF YOUR PERSONAL INFORMATION

In accordance with applicable data protection law, you may have certain rights over your Personal Information, such as obtaining a copy of the Personal Information we hold about you, requesting deletion of your Personal Information, opting out of future communications, or withdrawing consent for processing (where relevant). You have the right at any time to prevent us from contacting you for marketing purposes. When we send a promotional communication to you, you can opt out of further promotional communications by following the unsubscribe instructions provided in each promotional e-mail. Please note that notwithstanding the promotional preferences you indicate by either unsubscribing or opting out in the Settings section of the Site, we may continue to send you administrative emails in order to effectively provide you with the Services and periodic updates to our Privacy Policy.

In addition to the rights and choices listed above, you may also have the right to lodge a complaint with a supervisory authority. In the United States, RoofMarketplace is subject to the investigatory and enforcement powers of the Federal Trade Commission (FTC) and, depending on your state of residence, you may also be able to submit complaints with your state Attorney General’s office.

5. LINKS TO OTHER WEBSITES

As part of the Services, we may provide links to other websites or applications. However, we are not responsible for the privacy practices employed by those websites or the information or content they contain. This Privacy Policy applies solely to information collected by us through the Site and the Services. Therefore, this Privacy Policy does not apply to your use of a third party website accessed by selecting a link on our Site or via our Services, including any links that may be provided by a Provider. The privacy policy of that other website or application will apply to your access or use of that site or application. We encourage our users to read the privacy statements of other websites before proceeding to use them.

6. CHANGES TO OUR PRIVACY POLICY

Please read the Terms of Service and this Privacy Policy carefully. RoofMarketplace reserves the right to change this Privacy Policy and our Terms of Service at any time. We will notify you of significant changes to our Privacy Policy by sending a notice to the primary email address specified in your account or by placing a notice on the Site. Significant changes will go into effect thirty (30) days following such notification. Non-material changes or clarifications will take effect immediately. You should periodically check the Site and this privacy page for updates. The effective date of the latest version of the Privacy Policy will appear on this page.

7. INTERNATIONAL USERS

This Site is hosted and operated in the United States of America. Those who access or use the Site or the Services from other jurisdictions do so at their own choice and risk and are solely responsible for compliance with local law. Please note that the Personal Information you submit to our Site will be transferred to and stored in the United States to be processed by us so we can provide this Site and the Services to you as set forth in this Privacy Policy and the Terms of Service.

You acknowledge and agree that we may collect and use your Personal Information outside your home jurisdiction, and that we may store your Personal Information in the United States. Please note that the level of legal protection provided in the United States or other non-European countries in which you may access our Site or use the Services may not be as stringent as that under European Union privacy standards or the privacy laws of some other countries, possibly including your home jurisdiction.

If we do not receive enough information through your request to authenticate you, we may request additional information so that we can ensure you are who you say you are. We will only use the information you provide us in a consumer request to verify your identity. We respond to all requests we receive in accordance with California’s regulatory timelines.

California Shine the Light Law

Under California’s Shine the Light law, Cal. Civ. Code § 1798.83, California residents have the right under certain circumstances to request, once per year, information regarding our disclosure of Personal Information to third parties for direct marketing purposes, including a list of the categories of information we have shared and the names and addresses of all third parties with which we shared information in the immediately preceding calendar year.
